General Conditions of Sale 2024

Subject:

The following general terms and conditions of sale detail the rights and obligations of the company TROLEM and its customer in the context of the sale of goods referenced in the company’s catalog. Any sale made by the company TROLEM therefore implies the buyer’s unconditional adherence to these general terms and conditions of sale.

Acceptance of Orders:

Any order must be made in writing and include the exact details of the buyer.

Prices and Payment Terms:

The prices of the goods sold are those in effect on the day the order is placed. They are in Euros and calculated excluding taxes. Consequently, they will be increased by the applicable VAT rate and shipping costs on the day of the order. TROLEM establishes annual rates but reserves the right to modify its rates at any time. For any new customer and for the first order, payment will be required before the goods ordered are shipped. For subsequent orders, we accept payment by bank transfer or cheque within 30 days of the invoice date. Other payment terms must be the subject of specific negotiation and written authorization from TROLEM.

Delivery:

Delivery is carried out by one of our carriers to the location indicated by the buyer when placing the order. The delivery time indicated when the order is recorded is for guidance only and is not guaranteed. Consequently, any reasonable delay in the delivery of the products cannot give rise to damages for the benefit of the buyer.

Discounts and Rebates:

TROLEM does not grant discounts or rebates.

Late Payment:

In case of total or partial default of payment for the goods delivered on the due date, the buyer must pay TROLEM a late penalty equal to three times the legal interest rate. The legal interest rate used is that in effect on the day of delivery of the goods. As of January 1, 2015, the legal interest rate will be revised every 6 months (Order No. 2014-947 of August 20, 2014). This penalty is calculated on the total amount due including VAT, and runs from the due date of the price without any prior notice being required. In addition to the late payment penalties, any sum, including the deposit, not paid on its due date will automatically result in the payment of a lump sum indemnity of €40 due for collection costs. (Articles 441-6, paragraph 12 and D. 441-5 of the Commercial Code.)

TROLEM reserves the right not to deliver any new order until overdue invoices are settled.

Retention of Title:

TROLEM remains the owner of the goods delivered until the last day of their full payment. Consequently, the buyer personally undertakes not to dispose of the goods in any way, neither by full ownership nor by creating a pledge or encumbrance on the goods before their full payment. The return of the goods will be at the expense of the buyer. In case of judicial settlement or liquidation of the buyer’s assets, the goods belonging to us cannot be taken into account in his assets.

Protection of Personal Data:

Information relating to identified or identifiable natural persons that may be collected in accordance with these general terms and conditions of sale are collected solely for the purpose of executing the contract concluded between Trolem and the buyer. They are kept for a period of three (3) years from the end of the contract. In accordance with Regulation (EU) No. 2016/679 of April 27, 2016, and Law No. 2018-493 of June 20, 2018, individuals whose personal data has been collected have at any time the right to access, rectify, delete this data, and limit the processing of this data.

Guarantees:

Our goods are guaranteed against any manufacturing defects, warranty limited to the replacement of parts

  1. A 24-month warranty is applied to frames, parts, and labor.
  2. A 12-month warranty is applied for the A/R transport coverage.
  3. A 24-month warranty applies to Gel and lithium batteries.

The applicable warranty conditions are available upon request from the buyer.

Jurisdiction:

Any dispute relating to the interpretation and execution of these general terms and conditions of sale is subject to French law. In the absence of an amicable resolution, the dispute will be brought before the Commercial Court of Beauvais, which is the only competent court, even in the case of third-party claims. Any order implies, for the co-contractor, unconditional acceptance of the above general conditions; the abandonment of any contrary stipulations appearing on its purchase orders and the waiver of its general conditions of purchase.
